STATEMENT OF DIRECTORS’ RESPONSIBILITIES

The Board of Management of Royal Boskalis Westminster N.V. hereby declares, in accordance with article 5:25c of the Dutch Financial Supervision Act, that to the best of its knowledge:

1) the fnancial statements, which have been prepared in accordance with the applicable standards for preparing fnancial statements and as included on pages 73 to 141 of the Annual Report, provide a true and fair view of the assets, liabilities and fnancial position as at 31 December 2019 as well as the proft or loss of Royal Boskalis Westminster N.V. and all the business undertakings included in the consolidation; 2) the Report of the Board of Management provides a true and fair view of the condition, the business performance during the fnancial year 2019 of Royal Boskalis Westminster N.V. and the companies associated with it whose details are included in the fnancial statements, as at the balance sheet date of 31 December 2019; 3) the Report of the Board of Management provides a description of the material risks faced by the company.
